Welcome to Kataraxtis Solutions (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website www.kataraxtis.com (the “Website”) and the purchase of software, cloud services, or related offerings, including Microsoft products and our proprietary solutions (collectively, the “Services”). By accessing or using the Website or Services, you agree to be bound by these Terms. If you do not agree, please do not use the Website or Services.
1. Services and Licensing
We are an authorized Microsoft Partner and Independent Software Vendor (ISV) reseller, providing Microsoft cloud services (e.g., Microsoft 365, Azure) and our proprietary software solutions through the Microsoft Cloud Solution Provider (CSP) program and Commercial Marketplace. All Services are subject to:
- The applicable Microsoft Customer Agreement or Microsoft Services Agreement for Microsoft products, available at microsoft.com.
- Our End User License Agreement (EULA) or subscription terms for proprietary ISV solutions, provided at the time of purchase.
- Any additional Resale Terms agreed upon for private offers or custom solutions.
You are granted a non-exclusive, non-transferable license to use the Services per the applicable agreements. You may not sublicense, modify, or reverse-engineer the Services.
2. Eligibility and Account
To purchase or use our Services, you must be at least 19 (or the age of majority in your jurisdiction) and have the authority to enter into these Terms. You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activities under your account.
3. Orders and Payment
All orders are subject to our acceptance. Pricing for Services, including Microsoft products and ISV solutions, is as quoted on the Website or in private offers. Prices exclude applicable taxes (e.g., GST, PST in Canada), which you are responsible for unless you provide a valid exemption certificate. Payments are due as specified in the invoice, typically within 30 days. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law. Non-payment may result in suspension or termination of Services.
4. Intellectual Property
All content on the Website, including text, graphics, and software, is owned by us or our licensors (including Microsoft) and protected by copyright, trademark, and other laws. You may not copy, distribute, or create derivative works without prior written consent, except as permitted under applicable licensing agreements.
5. Privacy and Data Protection
We collect and process personal information in accordance with our Privacy Policy [link to your privacy policy] and applicable laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada. As a Microsoft Partner, we comply with Microsoft’s data protection requirements under the Microsoft Partner Agreement. 6. Support and Service Levels
We provide support for Services as outlined in the applicable subscription or Resale Terms. For Microsoft products, support is subject to Microsoft’s service level agreements. For ISV solutions, support details (e.g., response times, hours) are specified in the purchase agreement. We are not responsible for issues caused by your misuse, third-party systems, or failure to follow documentation.
7. Limitation of Liability
To the fullest extent permitted by law, we and our affiliates (including Microsoft) are not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Website or Services, including loss of data, profits, or business interruption. Our total liability is limited to the amount you paid for the Services in the 12 months preceding the claim. Services are provided “as is” without warranties, except as provided in Microsoft’s or our licensing agreements.
8. Termination
We may suspend or terminate your access to the Website or Services if you breach these Terms, fail to pay, or violate applicable licensing agreements. Upon termination, you must cease using the Services and destroy any licensed software in your possession. Provisions on intellectual property, liability, and governing law survive termination.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles. Any disputes will be resolved exclusively in the courts of British Columbia. You agree to attempt good-faith negotiation before pursuing legal action.
10. Changes to Terms
We may update these Terms at any time by posting the revised version on the Website. Continued use of the Website or Services after changes constitutes your acceptance. Check this page regularly for updates.
